More than that, two characters struggling over something is interesting. No matter WHAT it is, person or item. That is where tension comes from- a character either struggling with another character, with themselves, or with fate/the elements. This is one of the first things writers learn.
The show was interesting because it had those characters- Penny, being a plot device or not, was interesting, and her interactions with Captain Hammer and Billy were as interesting as their interactions with each other. The story would not have been the same if they'd both wanted to... I don't know, adopt a kitten or something. Though I admit, that would have been hilarious.

I really don't think it was Dr. Horrible's fault she died. It was Hammer's for not listening to the warning or noticing that the ray was sparking and sizzling.
I can see why you'd be bothered though. Here's the thing though, if she had started blaming Billy as she was dying, he could have later rationalized (out of desperation) that she chose to be his enemy. Since her dying words were only concerned with him and comforting him, he can never have that illusion that might make it easier for him to throw himself into evil.
