Calling me your sweetheart won't make me your sweetheart, just like calling fanfiction with the serial numbers filed off illegal won't make it illegal.
There are a boatload of professionally published novels that are more or less fanfiction with the serial numbers filed off. You have to do a lot of work to make it good enough to sell, and most of the time it's not professionally published because it's not that good, but Lois McMaster Bujold, David Gerrold and a host of other writers have made money legally doing this exact thing.
The unlicenced use of another person's trademarks/copyrights is what makes professional publication of fanfic illegal.
Obviously morality is very much a matter of opinion and we could argue that all day, but you do actually have to use the actual character and place names in order to get sued or charged with a crime.

But you're right. If they're not the same characters, and it's not the same setting, it's not illegal.
(And hell, some fanfics without the serial numbers filed are legal... I'm pretty sure ACD didn't write "Sherlock Holmes and the Zombie problem... and I can buy that from the Internet. Same goes for Pride, Pejudice and Zombies, Sense and Sensibility and Sea Monsters, and Android Karenina.)

But there are a lot of fanfics that are "not a very good fanfic" (at least in the minds of people who look for an experience similar to canon from fic) that are not very good fanfics precisely because they're different enough from the canon they're based on that they might as well be original fiction. Particularly when they're different because they were written before later additions to canon jossed them--think Harry Potter fanfics from 2002-2003, before book 5 came out, or Star Trek fics/scripts that were written in the 70s or early 80s before there was a Next Generation.
I'm sure most of these twilight fics they claim to be turning into original fic do suck. I like Twilight and I'm not a very big fan of AU Twilight fic--in my opinion AU Twilight fic is usually written by someone with an axe to grind, whether it's wanting to make Bella more of what they think a feminist should be or being Team Jacob or whatever. But then a lot of AU fics ARE written by people with an axe to grind (like pretty much everything I ever wrote based on HP after 2005) or by people who are looking to explore societies/parts of the world that aren't dealt with in the original canon. Imagine if you wrote a fic about the Klingons in 1986--then suddenly it's 1987 and the Klingons are now Federation allies! Jossed! And even if you were headed in that direction, the chance that the culture and language you gave them are the same as TNG are pretty low.
This observation is brought to you by the fact that I really wish the people that wrote Nu Ormenel would've turned it into an original novel. The kilingau that I read about in my early teens are not at all like the ThlIngan but those were some great stories. Fortunately I still have my fanzines so I'm not shit outta luck like I would be if they had been on a website somewhere that died, but it makes it hard to share the stories with friends.
Similarly there are a large number of HP fanfics that I like a whole lot better than HP, because there were a lot of interesting themes and characters and ideas that were thrown out in passing in the first 1-5 books of HP that were simply discarded and dropped by the way in Books 6 & 7 in favour of some of the most unpleasant "romance", feckless questing and teenage revenge fantasies I have ever had the misfortune to read in my life. :/ There was a lot of really awesome stuff, particularly written from Slytherin viewpoints or from the point of view that the four houses really did need to unite, that will probably just eventually disappear from the internets.
I can also think of at least one series of original novels that were based off a roleplaying game (well, actually 2--the other is Steven Brust's stuff, but him I don't know so I don't know how faithful the storyline is) that was played by some people I actually know. This was loosely based on a TV show, but was so different from that TV show (and set in another part of the world) that I didn't even know it had anything to do with the TV show until someone told me.

(It might come from the fact that I'm a big fan of reimagining stories. Salem's Lot by King is an american AU of Dracula, in his own words, Alan Moore's League of Extraordinary Gentlemen, and so on. If the writing is good, or at least entertaining, I'm ok with it)
So yeah, I agree with you.
But there's this absurd idea that you can just search and replace names and ta-da! Instant original book that I just can't comprehend because as I said... well, it might be an excellent story, but obviously you didn't get the voices of the characters remotely close to right if they could be Alice, Bob and Mike instead of Hermione, Harry and Ron and no one bats an eye. So they might be glorious stories, but... not good fanfic (I also make this distinction with movies. A good movie, is not a good adaptation necesarily and so on)
